1. Acceptance of Terms

By accessing and using the services provided by Zonix B.V. ("Zonix," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Our services are primarily delivered to business clients across the Netherlands and European Union.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to our clients.

6. Payment Terms

For our business services, specific payment terms will be outlined in individual service agreements or proposals. General payment terms include:

• Payment terms are typically 30 days from invoice date unless otherwise agreed
• All prices are quoted in Euros (EUR) and include applicable VAT where required
• Late payment may result in interest charges and suspension of services
• Disputed invoices must be raised within 14 days of receipt
• Travel and expenses may be charged separately as outlined in service agreements

7. Confidentiality

Zonix acknowledges that during the provision of our services, we may have access to confidential information belonging to our clients. We commit to:

• Maintain the confidentiality of all client information
• Use confidential information only for the purpose of providing our services
• Implement appropriate security measures to protect confidential information
• Not disclose confidential information to third parties without consent
• Return or destroy confidential information upon completion of services

This confidentiality obligation survives the termination of our service relationship.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Zonix B.V., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for any claims arising from or related to our services shall not exceed the amount paid by you to Zonix for the specific service giving rise to the claim in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Zonix B.V. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

This indemnification applies to claims arising from: (a) your use of and access to our services; (b) your violation of any term of these Terms; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your use of our services caused damage to a third party.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

For ongoing service relationships, either party may terminate the agreement with 30 days' written notice, unless otherwise specified in individual service agreements.

Upon termination, your right to use our services will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be interpreted and governed by the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands.

If you are a consumer residing in the European Union, you may have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

14. Waiver

The failure of Zonix to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any provision of these Terms will be deemed a further or continuing waiver of such provision or any other provision.
